Welcome to the products offered by Edu Prep Inc. (collectively “Edu Prep”, “we”, “us” or “our”). (collectively, “Edu Prep”, “we”, “us” or “our”) (collectively, the “Services”). You should read all of these Terms of Use carefully before you formally use the Services, as they contain important information about your legal rights, remedies and obligations.

By continuing to use our services you are deemed to have read and agreed to these Terms of Use in their entirety and agree to be bound by them. Otherwise, you should immediately stop using the Services.

Edu Prep Inc. does not provide exam, test preparation or other advice, nor does it promise that you will pass 100% of your exams or similar results by using our services. Your use of the services we provide is entirely at your own risk.

1.  Agreement to Terms

1.1 Your access to any part of https://www.iPrep.pro (the “Website”) and Edu Prep Inc.'s mobile applications (the “Apps”) is subject to the following terms of use (the “Terms”) (“Terms”) and our Privacy Policy. All such websites, applications or other services and features provided by us are collectively referred to as “Edu Prep”. If you do not accept any of these Terms of Use, please stop using or accessing Edu Prep immediately.

1.2 By continuing to use, you acknowledge that you have read these Terms in their entirety and agree to be bound by them.

1.3 When you access or use the Services provided by us, you warrant to us that you are at least 16 years of age (or the minimum age required by the laws and regulations of the country or region in which you are located) and that you have the legal capacity, rights, powers or authority necessary to agree to these Terms. Otherwise, you should immediately stop using Edu Prep.

1.4 We may revise parts of these Terms from time to time. You agree that Edu Prep reserves the right to modify these Terms at any time in its sole discretion. The contents of these Terms will automatically become effective immediately upon posting of the modification without notice. Your continued use of Edu Prep thereafter constitutes your agreement to the modified Terms in their entirety.

1.5 In these Terms, “we”, “our” and “us” refer to Edu Prep Inc. (“Edu Prep”).

2.  Disclaimer

2.1 We endeavor to safeguard our Services by taking reasonable steps, but we cannot fully guarantee that the Services, Content or functionality will fully meet your expectations and requirements, or that the provision of the Services will be secure, accurate, integrated, complete and error-free or uninterrupted.

2.2 You understand and agree that when you use our Services, you do so at your own risk. Any costs incurred as a result of using the Services are also your sole responsibility.

2.3 To the fullest extent permitted by applicable law, we expressly disclaim all express, implied, statutory and other service-related warranties in relation to the products, services or content. This includes, but is not limited to, warranties of fitness for purpose, validity, quality, reliability, accuracy, completeness, uninterruptedness and freedom from error of the Services.

2.4 We are not responsible for any disputes or consequences arising from your use of our services.

You should read all the above disclaimers carefully before using the Service. If you do not agree with any of these disclaimers, please stop using the Service immediately. By continuing to use, you represent that you have read and agree to all of the above disclaimers.

3.  Limitation of Liability

In no event will Edu Prep, its partners, or its service providers or licensors be liable with respect to any subject matter of these Terms under any contract, negligence, strict liability or other legal or equitable theory for (i) any special, incidental or consequential damages, (ii) the cost of procurement for or substitute products or services, (iii) for interruption of use or loss or corruption of data; or (iv) any increase in the fees paid by you to Edu Prep under this agreement during the twelve (12) month period prior to the date on which the cause of action accrues. We will not be liable for any failure or delay due to matters beyond our reasonable control. The foregoing provisions shall not apply to the extent prohibited by applicable law.

4.  Access to Edu Prep

4.1 Access to and the operation of Edu Prep relies on systems, databases and technologies, servers of third party service providers, etc. over which we may not have full control. Accordingly, we do not guarantee the uninterrupted operation of Edu Prep. If, for any reason, Edu Prep's services are unavailable for any period of time, you agree that we will not be liable to you.

4.2 We reserve the right to change, suspend, discontinue or terminate access to our services or any features or content at any time without notice.

4.3 During your use of and access to our Services, you must:

• i. comply with all applicable local laws and regulations and international laws and regulations;
• ii. not use our Services in any unlawful manner, for any unlawful purpose or in any manner inconsistent with the Terms, or act fraudulently or maliciously. This includes, but is not limited to, inserting malicious code, viruses or harmful data into any of our systems through hacking;
• iii. not infringe our or any third party's intellectual property rights;
• iv. not collect or obtain any information or data from our systems or attempt to decipher any of the features, services or content running on our services;

4.4 We reserve the right to terminate or restrict your access to our Services at any time and for any reason if you do not comply with the Terms.

5.  Subscription Fees and Payment

Purchasing a subscription to Edu Prep gives you access to all features and content, and your subscription will be charged at the rate for the plan you choose. You may purchase a weekly, monthly, quarterly, annual or lifetime subscription (“Subscription”). A description of the features associated with a Subscription is available through the Service. When you purchase a Subscription, we may ask you to provide information related to your transaction, such as your credit card number, your credit card expiration date, and your billing and delivery address (such information is “Payment Information”). You represent and warrant that you have the legal right to use all payment methods represented by any such Payment Information.

Payment will be charged to your iTunes Account or Google Play Account at the time you confirm your purchase. If you need to cancel your subscription, you must turn off auto-renewal at least 24 hours before the end of the current term or the subscription will automatically renew. The Account will receive a renewal charge no later than 24 hours prior to the end of the current term and the renewal charge will be confirmed. Subscriptions may be managed by the User and auto-renewal may be turned off after purchase by going to the User's Account Settings. Unused portions of the free trial period (if provided) will be canceled when the User purchases a subscription to that publication, if applicable. All fees are non-refundable. If you wish to cancel your subscription or adjust to a different subscription plan, please contact us via email. You understand that if you violate the Terms of Service, your subscription or access to the Application or Site content will be suspended. Suspended accounts will not be reinstated and fees will not be refunded.

If you have any concerns or objections about a charge, you agree to raise them with us first, and you agree not to cancel or decline any credit card or third party payment processing charges unless you have made a reasonable attempt to resolve the issue directly with us.

Edu Prep reserves the right not to process or cancel your order under certain circumstances, such as if your credit card is declined, if we suspect that the request or order is fraudulent, or under other circumstances we deem appropriate in our sole discretion.

6.  Account Registration

6.1 In order to use our Services, you may be required to register your account and provide certain information about yourself in response to registration prompts.

6.2 If you choose to register for an account, you agree to represent and warrant to Edu Prep that all necessary registration information provided by you is true and accurate and subject to any applicable laws, regulations or the contents of these Terms.

6.3 Certain applications or websites do not require you to register for an account in order to use the Service. However, you agree that we can recognize you by your device and app store login ID and use this to provide you with personalized services.

6.4 If you violate the above terms, your account and data may be directly suspended or terminated and you will not be able to continue to access our services without notice.

7.  Termination

7.1 You may terminate your use of our services at any time.

7.2 We reserve the right to suspend or cease providing any part of the Services at any time, with or without cause and without prior notice. We may, in our sole discretion, terminate or suspend your access to the Services if you breach these Terms or use the Services in any way that may expose us to liability or interfere with the use of the Services by others.

7.3 We will endeavor to notify you in advance if we decide to terminate or suspend your use. However, in some cases we may not be able to give you advance notice, such as in an emergency or to protect the security and integrity of the Services.

7.4 Termination or suspension of your use does not relieve you of your obligations and liabilities arising from your conduct prior to termination or suspension.

8.  Links to Third Party Websites or Resources

8.1 We may provide links on our Services to third party websites or applications owned or operated by third parties that we believe may be of interest to you. These links are provided solely as a convenience to you, and any third-party links do not imply any endorsement or approval by us of the linked sites. Edu Prep is not obligated to, and does not, review these third-party linked sites in any way.

8.2 Edu Prep does not control or monitor, and is not responsible for, the content, functionality, hyperlinks, privacy policies, or the security or accuracy of any third party linked site, and in particular makes no warranty whatsoever with respect to its content. Your use of these Linked Sites is entirely at your own risk and safety. Your use of a linked site is subject to the terms and conditions of that linked site (if any) in addition to the terms and conditions of this site. In the event of any inconsistency, the terms and conditions herein shall prevail.

8.3 Edu Prep is not responsible for any User Generated Content. We do not have any control or oversight over, and are not responsible for, the content accessed by Users through Edu Prep.

8.4 Edu Prep may contain advertisements provided by third-party advertising providers. The display of such advertisements should not in any way be construed as a recommendation or endorsement by us of these advertisers/their products or services. All information about the advertisers and their products and/or services will be referred to you by the relevant advertisers. To the extent permitted by law, Edu Prep is not responsible for any interaction between you and the relevant third party and disclaims any liability arising from or in any way connected with such interaction.

9.  Waiver

If we do not insist that you perform any of our obligations under these Terms, or if we do not enforce our rights against you, or if we delay in doing so, this does not mean that we have waived our rights against you or that you are not required to perform those obligations. If we waive your breach, we will only do so in writing, which does not mean that we will automatically waive your subsequent breaches.

10.  Assignment

These Terms of Service and any rights and licenses granted hereunder may not be transferred or assigned by you, but may be assigned by Edu Prep without restriction.

11.  Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with these Terms, including any question as to their existence, validity or termination, shall be submitted to and finally resolved by the courts of Singapore.
